Corporate governance

Corporate governance is a matter of high importance in the Company and is undertaken with due regard to all of the Company's stakeholders and its role in the community.  Good corporate governance is a fundamental part of the culture and the business practices of the National and its controlled entities.  The main corporate governance practices are discussed in this section.

Directors of the National and all its controlled entities are provided with corporate governance guidelines, which have been approved by the Board of Directors ('the Board').  The corporate governance guidelines set out the specific roles, duties, responsibilities and rights of the Directors of the National and of the Directors of controlled entities of the Group.  Such guidelines set out the key expectations that the National's Board would have of the boards of controlled entities.  The guidelines have been specifically tailored for the different types of entities depending on the nature of their business and their activities.
